1. About Fleexi

Fleexi is a social lifestyle marketplace operated by Funtodo Technologies Limited (“Funtodo”, “Fleexi”, “we”, “us” or “our”), a company incorporated in the Federal Republic of Nigeria.

Fleexi is currently in development. Certain features may be unavailable, incomplete or subject to testing before the public launch.

These Terms govern your access to and use of Fleexi, including account registration, waitlist participation, browsing, bookings, payments, reviews, referrals and any loyalty or promotional features made available.

By using the Platform, you agree to these Terms. If you do not agree, do not use the relevant services.

3. Eligibility and Accounts

3.1. You must be legally capable of entering into a binding agreement to accept these Terms.

3.2. Unless a feature expressly provides otherwise in compliance with applicable law, you must be at least 18 years old to create an independent account or transact through Fleexi.

3.3. Some events, experiences and accommodation bookings may carry additional age, identification, occupancy or eligibility requirements. These requirements will be disclosed where relevant.

3.4. You agree to provide accurate information and keep your account details reasonably up to date.

3.5. You are responsible for safeguarding your login credentials and reporting suspected unauthorised access promptly.

3.6. You must not impersonate another person, create accounts fraudulently or use the Platform for unlawful purposes.

3.7. We may suspend or restrict an account where reasonably necessary to investigate suspected fraud, protect users, maintain Platform security or comply with law. Where appropriate, we will explain the reason and provide an opportunity to challenge the decision.

4. Waitlist and Pre-Launch Access

4.1. Joining the Fleexi waitlist expresses interest in the Platform and may qualify you to receive product updates or invitations, subject to your communication preferences.

4.2. Waitlist registration does not guarantee access to the MVP, an invitation to an event, a booking, a discount or any particular launch date.

4.3. Any limited-access offer, founding-member benefit or invitation will be subject to its expressly stated conditions.

4.4. Waitlist registration is free unless a specific paid offer is clearly disclosed.

4.5. Promotional communications are governed by the Fleexi Privacy Policy and your marketing preferences. You may join the waitlist without consenting to optional marketing where the registration flow allows.

5. Fleexi’s Marketplace Role

5.1. Fleexi provides discovery, booking and payment-facilitation services for offerings made available by Partners.

5.2. Unless a Listing clearly identifies Fleexi as the direct supplier, the relevant Partner is responsible for supplying the underlying event, accommodation, experience or service.

5.3. Fleexi’s precise role in a transaction, including the identity of the supplier and the party responsible for fulfilment, will be disclosed where relevant before the Consumer commits to the booking.

5.4. Partners are responsible for providing accurate Listings and fulfilling their contractual obligations, including obtaining any required licences, permissions and insurance and complying with applicable safety and service standards.

5.5. Fleexi may conduct checks, moderate Listings, investigate complaints or remove offerings where reasonably necessary. A Partner’s presence on the Platform does not amount to an unconditional guarantee of that Partner’s performance.

5.6. Fleexi will fulfil its own contractual and statutory obligations. These Terms do not remove any consumer rights or legal duties that cannot lawfully be excluded.

6. Listings, Prices and Availability

6.1. Listings must fairly describe the offering, including its material features, location, date, time, availability, inclusions, exclusions and restrictions.

6.2. The total payable price, including applicable mandatory fees and taxes, must be displayed before the Consumer completes a transaction.

6.3. Optional extras must be identified separately. Consumers will not be charged for optional services they have not agreed to purchase.

6.4. A displayed Listing does not guarantee availability until the booking is confirmed.

6.5. Promotional prices and discounts may be subject to eligibility requirements, validity periods and quantity limits. These conditions must be clear before purchase.

6.6. Prices may change before checkout. A confirmed booking will not be subject to a retrospective price increase except where permitted by law and expressly covered by the agreed transaction terms.

6.7. Listings and promotional materials must not be materially misleading. Material differences between illustrative images and the actual offering should be disclosed.

7. Bookings and Confirmations

7.1. A booking request is not confirmed merely because it has been submitted or a payment attempt has begun.

7.2. A booking becomes confirmed when the Platform or an authorised Partner issues a booking confirmation.

7.3. Before payment, you should review the selected service, date, time, location, guest count, price, cancellation policy and other material conditions.

7.4. Fleexi may transmit relevant booking information to the Partner to fulfil your reservation.

7.5. If a booking cannot be confirmed, Fleexi will communicate the outcome and arrange any applicable refund for a payment already collected, subject to the circumstances and applicable law.

7.6. Consumers must comply with reasonable, clearly disclosed check-in, venue, occupancy and safety requirements.

8. Payments and Third-Party Payment Providers

8.1. Fleexi facilitates payments through third-party payment service providers selected for the Platform.

8.2. Payments may be subject to the payment provider’s terms, security checks and processing arrangements. The provider’s identity and relevant payment terms will be presented where appropriate.

8.3. The use of a third-party payment gateway does not relieve Fleexi or a Partner of obligations for which either is responsible under law or the relevant transaction agreement.

8.4. Before accepting a payment, Fleexi will disclose the applicable price, fees and material booking terms. The transaction flow will identify the relevant supplier and payment arrangements where required.

8.5. Fleexi will provide or facilitate access to an electronic booking confirmation and transaction record.

8.6. Refunds will ordinarily be returned through the original payment method where practicable. Processing times may depend on the payment provider and the receiving financial institution.

8.7. You must not share your card PIN, banking password or one-time authentication code with anyone claiming to provide ordinary Fleexi customer support.

8.8. We may delay, decline or investigate a transaction where reasonably necessary to address payment failure, suspected fraud or a legal or security requirement. Any resulting cancellation or refund will be handled in accordance with applicable law and the disclosed transaction terms.

9. Cancellations, Refunds and Changes

9.1. The cancellation and refund terms applicable to a Listing must be displayed before payment.

9.2. Consumers may request cancellation through the Platform or the published support channel.

9.3. The applicable refund will depend on the nature of the booking, the timing and reason for cancellation, the disclosed terms and applicable law.

9.4. Consumers retain any statutory right to reasonably cancel an advance booking or reservation. Any cancellation charge must be reasonable, disclosed in advance and lawful. A general “no refunds” statement does not override a statutory entitlement.

9.5. Where a Partner cancels, materially changes or fails to deliver a confirmed booking, Fleexi will coordinate with the relevant parties and facilitate the remedy applicable under the transaction terms and law. Depending on the circumstances, this may include a refund, alternative booking or rescheduling.

9.6. Where Fleexi is responsible for a failed transaction or cancellation, it will take appropriate steps to provide the remedy required by law.

9.7. Refunds approved for payment will be initiated within a reasonable period. The time for funds to reach your account may depend on the payment provider.

9.8. If an event or experience is affected by an emergency, severe weather, government restriction or other circumstance beyond the relevant party’s reasonable control, Fleexi will communicate material changes and facilitate an appropriate lawful resolution.

9.9. The cancellation terms for each booking form part of the relevant transaction and should be retained with the booking confirmation.

10. Tastemakers, Reviews and Affiliate Activities

10.1. Tastemakers may curate, recommend or promote Listings through the Platform.

10.2. Recommendations reflect the contributor’s views and are not automatically a guarantee by Fleexi.

10.3. Tastemakers and Partners must disclose commissions, gifts, free services or other material promotional relationships where required by law or applicable rules.

10.4. Reviews must be genuine and must not contain fabricated claims, impersonation, threats or unlawful content.

10.5. Fleexi may moderate or remove content that violates these Terms or applicable law. Users may contact support to request a review of a moderation decision.

10.6. No contributor may falsely claim that Fleexi guarantees a service or endorses a Partner beyond what Fleexi has expressly stated.

11. User Content and Intellectual Property

11.1. You retain ownership of Content you create, subject to third-party rights.

11.2. By submitting Content, you grant Funtodo Technologies Limited a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display and distribute it as reasonably necessary to operate, maintain, promote and improve the relevant Fleexi features.

11.3. Any adaptation of your Content will be limited to what is reasonably necessary for these purposes and subject to applicable law. This clause is not blanket consent to unrelated advertising use of identifiable personal content.

11.4. You confirm that you have the rights and permissions needed to submit the Content.

11.5. Fleexi’s branding, software, interface and original Platform materials are owned by or licensed to Funtodo Technologies Limited. They may not be commercially exploited without permission, except as permitted by law.

12. Acceptable Use

You must not:

  • Use Fleexi for fraud, unlawful activity or deceptive practices.

  • Interfere with payment systems, booking records or Platform security.

  • Attempt unauthorised access to accounts, systems or personal information.

  • Scrape or commercially exploit Platform data without authorisation.

  • Upload malicious code or content that infringes another person’s rights.

  • Harass, threaten or unlawfully discriminate against other users or Partners.

  • Publish false reviews or misuse another person’s identity or personal information.

  • Manipulate promotions, referrals or loyalty benefits.

  • Evade a lawful account restriction or suspension.

We may take proportionate action in response to violations, including removing content, restricting bookings or suspending accounts. We will consider the circumstances and applicable legal requirements.

13. Safety and Third-Party Services

13.1. Users must comply with applicable law and reasonable safety rules when attending an event, using accommodation or participating in an experience.

13.2. Partners remain responsible for the lawful operation and delivery of the services they supply, subject to their actual obligations and applicable law.

13.3. If immediate danger arises, contact the relevant emergency services. You may also report a safety concern to Fleexi.

13.4. External websites, payment services and social networks may have separate terms and privacy policies. Their presence on or connection to Fleexi does not mean Fleexi controls every aspect of their operation.

14. Privacy and Communications

14.1. Personal information is processed in accordance with the Fleexi Privacy Policy.

14.2. Fleexi may send essential communications needed to administer your account, booking, payment, refund or security.

14.3. Optional marketing communications are governed by your preferences and applicable law. You can withdraw marketing consent without losing access to essential service communications.

15. MVP Availability and Platform Changes

15.1. During development and testing, certain features may be unavailable, change or be withdrawn.

15.2. We will not represent a feature as available for public use when it is not operational.

15.3. We may modify or discontinue features for security, operational or legal reasons. Where a change materially affects an existing paid booking or accrued entitlement, we will take reasonable steps to communicate the change and provide any remedy required by law.

15.4. We aim to maintain reliable access but cannot guarantee uninterrupted operation at all times. This does not excuse a breach of our statutory or contractual obligations.

16. Liability and Consumer Rights

16.1. Each party remains responsible for its own acts, omissions and contractual obligations.

16.2. Fleexi’s responsibility for a Partner’s service will depend on Fleexi’s actual role in the transaction and applicable law. Fleexi does not automatically assume every obligation of an independent Partner.

16.3. Nothing in these Terms excludes, restricts or limits liability or consumer rights where such exclusion, restriction or limitation is prohibited by law.

16.4. Any limitation of liability must be lawful, fair, brought to the Consumer’s attention where required, and consistent with the circumstances of the transaction.

16.5. Users may pursue complaints through Fleexi and retain any right to approach a competent regulator or court.

17. Account Closure and Suspension

17.1. You may stop using Fleexi and request account closure through the available account settings or by contacting support.

17.2. Closing an account does not automatically cancel an existing booking or remove a payment, refund or other outstanding obligation.

17.3. Fleexi may suspend or terminate access for material breaches, fraud, safety concerns or legal requirements, subject to applicable law and any appropriate notice or review process.

17.4. We may retain information after account closure where necessary for legal compliance, transaction records, security, fraud prevention or dispute resolution, in accordance with the Privacy Policy.

18. Complaints and Disputes

18.1. Please contact Fleexi first if you have a complaint about a Listing, booking, payment, refund or account.

18.2. Include your booking reference, a description of the issue and relevant evidence.

18.3. Fleexi will assess the complaint fairly and communicate the outcome or request further information. Where a Partner is involved, Fleexi may coordinate with that Partner.

18.4. Nothing in these Terms prevents a Consumer from contacting the Federal Competition and Consumer Protection Commission (FCCPC), the Nigeria Data Protection Commission (NDPC) for a data protection complaint, or another competent authority, as applicable.

19. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, subject to any mandatory laws applicable to the relevant Consumer or transaction.

Disputes may be brought before a court of competent jurisdiction, subject to applicable law. Nothing in this section prevents a Consumer from exercising a statutory right to seek redress.

20. Changes to These Terms

We may update these Terms to reflect changes to the Platform, our operations or applicable law.

The updated version will be published with a revised “Last updated” date. Where required, we will give notice of material changes or obtain renewed consent before they take effect.

Changes will not retrospectively remove accrued consumer rights or alter a confirmed booking contrary to law.
